Photo and video usage agreement

Grant of License
This license grants the Client (“Licensee”) a non-transferable, non-exclusive license to use the provided material. You may not sell, rent, lease, or sublicense the material to any other companies or entities.

Permitted/prohibited uses
The material may be used for editorial (non-commercial) use such as video, film, broadcast, multimedia, electronic, or print media, including advertising with subjects related to Speech Processing Solutions GmbH. The material may be backed up or archived as necessary to complete the above stated uses only.

You may not place the material in a downloadable format on the Internet, electronic bulletin board, or allow access to the material via P2P file sharing networks or utilities.

You may not use, or allow anyone to use, any of the material to create pornographic, libelous, obscene, fraudulent, illegal, or defamatory material.

Copyright
All material is copyrighted by Speech Processing Solutions GmbH and is protected by Austrian laws, international treaty provisions, and other applicable laws. No title, copyright, or intellectual property rights in the material is transferred with this license. Full rights and copyright remain with Speech Processing Solutions GmbH, without exception.

Indemnification
You agree to indemnify and hold Speech Processing Solutions GmbH harmless against any and all claims or liabilities asserted against Speech Processing Solutions GmbH, arising out of access to these material or in any connection with the breach of any of the terms of this agreement.

Credit
A credit line should be included with each photo that reads “Photos/Videos: Speech Processing Solutions GmbH” - when possible a link to www.philips.com/dictation should be provided as well.

General
This agreement will be governed by the laws in force in the Republic of Austria. If any provision of this agreement is held to not be enforceable, it will not affect the validity of the balance of the agreement, which shall remain valid and enforceable according to its terms. Speech Processing Solutions GmbH reserves the right to amend this agreement at anytime.
